ARQIS advises Komori Corporation on acquisition of MBO Group

ARQIS has advised Komori Corporation (Komori) on the acquisition of MBO Group (MBO), a global company based in Germany that specializes in the manufacture and sale of post-press equipment. The closing of the transaction is subject to the approval by the regulatory authorities.

The acquisition of MBO will enable Komori to market the entire process chain from printing to finishing and IoT-based cloud solutions such as KP-Connect worldwide. The acquisition is also intended to facilitate entry into post-press solutions for commercial printing – a new business area for the Komori Group.

The MBO-Group, located in Germany, was founded in 1965. It specializes in the development, the production and the marketing of machines and automation solutions for the further processing of digital and offset printing, as well as of mailing, pharmaceutical and special applications with its brand Herzog+Heymann. In addition to its own sales companies in the USA, France and China, MBO maintains a worldwide network of sales and service partners.

Komori Corporation, a Japanese listed company founded in 1923, is a manufacturer of printing presses. The company manufactures web offset printing presses, security printing presses, sheetfed offset printing presses, packaging printing presses and print-related equipment.

The advisory services of ARQIS included assistance in the legal due diligence in a total of five jurisdictions, structural advice as well as contract drafting and negotiations.
