ARQIS ADVISES FUJI MACHINE ON THE PARTICIPATION IN TOWER-FACTORY

ARQIS has advised the Japanese company FUJI MACHINE MFG. CO., LTD. (Fuji Machine) on the acquisition of 34.375 % of the shares in Tower-Factory GmbH (Tower-Factory).

Tower-Factory is a German provider of intelligent storage solutions for the SMT market. It was established in 2013 and is located in Friedberg.

Fuji Machine is a machine manufacturing company with its seat in Aichi, Japan, and listed in Nagoya as well as in Tokyo. Fuji Machine has more than 2,000 employees and its sales amounted to over 85 billion Yen (approx. EUR 700 million) in 2015.

The common goal of both companies is the optimum use of the potentials of highly innovative products, which are well integrated into Fuji Machine’s material handling solution, on the national as well as on the international markets. The products are also prepared for other future manufacturing solutions, e.g. in the fields of Industry 4.0 and Industrial Internet.

The advisory services of ARQIS included legal due diligence, structuring of the transaction as well as contract drafting and negotiations.
