Numerous labour law and pension law issues arise in the course of a corporate transaction. Remuneration systems collide, a duplication of pension entitlements occurs or a framework social plan unintentionally applies to further employee groups. These issues can have a significant impact on the purchase price, but ultimately also on the success of the transaction.

In order to address such issues in the best possible way and to be able to successfully support the transaction, we have created a new interface between our focus groups HR.Law and Transactions with “HR Transactions”. HR Transactions interlinks corporate law and labour law in the transaction area in an innovative way and enables us to provide targeted and efficient advice on labour law issues before, during and after a transaction. We achieve this through project management and the use of innovative legal tech modules, which enable us to make due diligence as well as the drafting of purchase agreements for our clients faster and more efficient in all types of transactions and to optimally use the available resources of the different teams.

Thanks to our strong self-sufficient labour law advice in HR.Law, we know the relevant risks from practice and accompany companies throughout the entire transaction process. After the transaction has been completed, our clients also benefit from this innovative project management in post-merger integration projects as well as in labour law reorganisation projects (change of operations, mass dismissal, etc.).
