Our advisory services include
- Review and negotiation of facility agreements with lenders, including any syndicated loan agreement.
- Review and negotiation of all security documents and ancillary agreements (e.g. pledges, security transfers, assignments of receivables, guarantees and security pooling arrangements).
- Drafting of all requisite transaction documents necessary to implement the facility and security arrangements, including powers of attorney and shareholders' resolutions.
- Attendance and representation at the execution of transaction documents, including notarisation appointments.
- Ensuring satisfaction of all conditions precedent to utilisation under the facility agreements.
- Preparation of legal opinions, in particular as to the due execution, validity and enforceability of the transaction documents.
